These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User") and StreemTech LLC ("StreemTech," "we," "us," or "our") governing your access to and use of our websites, applications, APIs, services, and all associated features (collectively, the “Services”). By accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
By creating an account, accessing, or using the Services in any manner, the User expressly agrees to comply with and be bound by these Terms and any additional policies or documents referenced herein.
StreemTech reserves the right, at its sole discretion, to amend, modify, or revise these Terms at any time, this includes, without limitation, developer terms governing API or integration use. Any such modifications shall become effective immediately upon their publication. Continued use of the Services by the User following any modification shall constitute acceptance of the modified Terms. If the User does not agree to any amended Terms, they must discontinue use of the Services.
Certain features of the Services may be subject to additional terms and conditions, including, without limitation, any future developer terms. In the event of a conflict between these Terms and any additional terms, the additional terms shall govern solely with respect to the specific feature to which they apply.
The Services are intended solely for individuals who are at least eighteen (18) years of age or with the consent of a parent or guardian, at least thirteen (13) years of age. By accessing or using the Services, the User represents and warrants that they meet this eligibility requirement.
Access to certain features of the Services requires the User to create an account. The User agrees to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. The User shall be responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account. Accounts are personal to the User and may not be sold, purchased, transferred, or traded.
Subject to these Terms, StreemTech grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for lawful purposes in accordance with these Terms.
The User agrees not to:
Use the Services in any manner that violates applicable law or regulation;
Engage in any activity that interferes with or disrupts the functioning of the Services;
Access or attempt to access data not intended for the User;
Introduce malicious code or otherwise compromise the security or integrity of the Services;
Use automated scripts or bots without StreemTech's prior written consent.
Scraping or harvesting data for purposes including, without limitation, training artificial intelligence or machine learning models, is strictly prohibited, except where expressly permitted via authorized API access under Section 5.1.
The User may have the ability to submit, upload, publish, or otherwise make available content via the Services ("User Content"). The User retains ownership of all intellectual property rights in their User Content.
By submitting User Content, the User grants to StreemTech a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, and distribute such User Content solely in connection with the operation of the Services.
The User represents and warrants that they have all necessary rights to grant the foregoing license and that the User Content does not infringe upon the rights of any third party. StreemTech assumes no responsibility for monitoring User Content, but reserves the right to remove or restrict access to any User Content at its sole discretion. StreemTech does not endorse or assume responsibility for any User Content
Certain features of the Services may be offered for a fee. All fees are quoted in U.S. Dollars unless otherwise specified and are non-refundable except as expressly provided herein or required by applicable law. All costs, charges, and fees shall be determined solely by StreemTech, in its discretion, unless otherwise specified in writing. StreemTech may modify subscription fees or service charges upon at least thirty (30) days’ prior notice to Users. Continued use after such notice constitutes acceptance of the new pricing.
By providing a payment method, the User authorizes StreemTech to charge the designated payment method for all applicable fees. User represents and warrants that they are authorized to use the payment method provided, and shall be responsible for maintaining accurate billing information.
Failure to remit payment when due may result in suspension or termination of access to the Services. StreemTech reserves the right to assess interest on overdue amounts and to recover any costs associated with collection efforts.
All fees are exclusive of applicable taxes. The User shall be solely responsible for the payment of all taxes, duties, and levies imposed by any governmental authority.
Refunds, if any, shall be issued solely at the discretion of StreemTech or as required by law. Users seeking a refund must submit a written request identifying the reason and basis for such request.
StreemTech may facilitate "tipping" between users and enable purchases from one user to another through marketplaces or other mechanisms. You acknowledge and agree that StreemTech may withhold such tip and purchase payments for a period deemed necessary to ensure compliance and security. All determinations regarding amounts payable to Users, including credits, payouts, or distributions, are calculated solely by StreemTech and are final and binding, absent manifest error.
StreemTech reserves the right, at its sole discretion and without prior notice, to:
Modify or change tipping and payment methods;
Change tipping and payment service providers;
Adjust any fees associated with tipping and payment processing;
Discontinue, suspend, or remove tipping features, marketplaces, or other forms of user-to-user transactions;
Impose limits on the number, frequency, or total amount of tips or purchases made by or received by any user;
Restrict or withhold access to any tips or funds suspected or determined by StreemTech to have been obtained through suspicious, fraudulent, or unauthorized activity.
StreemTech shall not be liable for:
The availability, functionality, or operation of any third-party payment provider;
The processing, fulfillment, or delivery of any transaction or product exchanged between users;
Any failed or incomplete transactions resulting from inaccurate payment information provided by users.
In select circumstances, StreemTech may, at its sole discretion, issue refunds for tips or marketplace purchases. In such cases, StreemTech reserves the right to deduct any associated costs, fees, and the refunded amount from the account balances of the users who originally received the funds. Should the user’s account lack sufficient funds to cover these deductions, StreemTech may charge the user’s registered payment method to recover the amount
If StreemTech provides access to an application programming interface (API), such access is subject to the additional terms provided at the time of access. StreemTech may limit or revoke API access at any time.
The User agrees to comply with any API rate limits or data usage limitations as established by StreemTech. Excessive or abusive usage may result in throttling, suspension, or termination of access.
Usage-based pricing models may include automated billing estimates. Such estimates are provided for informational purposes only and do not constitute a binding invoice. The User acknowledges that final charges may vary.
The Services may include functionality that integrates or interacts with third-party platforms, services, applications, or content (“Third-Party Services”). StreemTech does not control, endorse, or assume responsibility for any Third-Party Services. The User acknowledges and agrees that any access or use of Third-Party Services is governed solely by the terms and conditions of those third parties, and StreemTech shall not be liable for any damages or losses arising from such use. This includes, without limitation, payment processors, app stores, and cloud hosting providers.
By linking or enabling any Third-Party Service with the Services, the User hereby authorizes StreemTech to access and use the necessary data, credentials, or content provided by such Third-Party Service solely as required to provide the Services. The User represents and warrants that they have all necessary rights to grant such access.
The Services may contain links to third-party websites or allow Users to post or share content that links to external platforms not owned or controlled by StreemTech. StreemTech is not responsible for and does not endorse the content, privacy policies, or practices of any third-party websites. Users are solely responsible for their use of such third-party platforms and agree to release StreemTech from any and all liability arising from such use.
The collection, use, storage, and disclosure of User data by StreemTech is governed by our Privacy Policy, which is incorporated herein by reference. By using the Services, the User consents to the collection and use of data in accordance with the Privacy Policy.
StreemTech implements commercially reasonable administrative, technical, and physical safeguards designed to protect the integrity and confidentiality of User data. However, the User acknowledges and agrees that no method of electronic transmission or storage is completely secure, and StreemTech makes no warranty or guarantee regarding the security of data transmitted through the Services.
The User shall be solely responsible for maintaining the confidentiality of any credentials or access tokens associated with their account and for all activities conducted under their account. Should a breach of security occur that impacts the User’s account, or if the User becomes aware of any unauthorized use of their account, the User must immediately notify StreemTech at security@streem.tech . The User remains responsible for all actions taken through their account, including those resulting from a breach of security or unauthorized usage, until such notice is received by StreemTech.
The User agrees not to misuse the Services. Prohibited conduct includes, without limitation:
Engaging in any activity that violates applicable laws, regulations, or third-party rights;
Attempting to gain unauthorized access to any system, data, or user accounts;
Interfering with the proper operation of the Services, including by means of automated tools, bots, or scraping;
Submitting, uploading, or distributing any content that is unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable;
Circumventing or disabling any security or access control features of the Services.
StreemTech reserves the right, in its sole discretion, to investigate violations of this Section and to take appropriate legal action, including termination of the User’s access to the Services and referral to law enforcement authorities.
All content and functionality made available through the Services—including software, design elements, text, images, video, graphics, and logos—are the property of StreemTech or its licensors and are protected by applicable intellectual property laws. All StreemTech marks, including but not limited to names, logos, and related brand identifiers, are the exclusive trademarks of StreemTech. Use of these marks without express written permission is strictly prohibited.
The User is granted a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms. This license does not grant the User any rights to re-license, sell, distribute, reproduce, modify, or create derivative works from any part of the Services.
The User shall not:
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas of the Services;
Circumvent or disable any security features or access controls of the Services;
Remove, obscure, or alter any proprietary notices or legal disclaimers;
Use StreemTech’s intellectual property for unauthorized purposes, including without limitation, commercial exploitation or impersonation;
Use the Services or associated materials in a way that violates the intellectual property rights of StreemTech or any third party.
The User may terminate their use of the Services at any time by ceasing all use and closing any associated account, subject to the survival of those provisions of these Terms which by their nature are intended to survive termination.
StreemTech reserves the right to suspend or terminate the User’s access to the Services, with or without notice, for any reason including, but not limited to, violation of these Terms, suspected fraudulent activity, or compliance with legal obligations.
Upon termination, all rights granted to the User under these Terms shall immediately cease. The User remains responsible for all obligations incurred prior to termination.
The Services are provided on an “as is” and “as available” basis. StreemTech expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. StreemTech does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
To the maximum extent permitted by applicable law, StreemTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) the User’s access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of the User’s content or data.
In no event shall StreemTech’s total liability to the User for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the amount paid by the User to StreemTech, if any, in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
StreemTech may update these Terms from time to time. Material changes will be communicated as required by law, including by email or through the Services. The date of last revision will be stated at the top of the document. Users are encouraged to review the Terms regularly.
If StreemTech hosts these Terms on a public platform (e.g., GitHub), the operative version will be maintained on the main branch. Forthcoming changes will be tagged with their effective date and may be withdrawn or replaced before taking effect. If such hosting is used, StreemTech will strive to provide
at least seven (7) days’ notice before changes take effect, except in exigent circumstances. Should removal of historical versions occur, StreemTech will, where feasible, provide six (6) months’ notice and post public announcements accordingly. This clause applies to itself.
The User agrees to indemnify, defend, and hold harmless StreemTech, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) the User’s access to or use of the Services; (ii) the User’s violation of these Terms or applicable law; (iii) any content or data submitted by the User; or (iv) the User’s infringement or misappropriation of any intellectual property or other rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to binding arbitration conducted in Brown County, Wisconsin, under the rules of the American Arbitration Association. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
These Terms constitute the entire agreement between the User and StreemTech with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, communications, and proposals, whether oral or written.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
No waiver of any term or condition shall be deemed a continuing waiver of such term or condition or any other term, and the failure of StreemTech to assert any right under these Terms shall not constitute a waiver of such right.
The User may not assign or transfer these Terms, by operation of law or otherwise, without prior written consent of StreemTech. Any attempt by the User to assign or transfer these Terms without such consent shall be null and void. StreemTech may freely assign or transfer these Terms without restriction.
